Terms of Service

These Terms of Service ("Terms") govern your use of DocketScreen, a product of DailyVault LLC ("Company," "we," "us," or "our"), a New Jersey limited liability company. By accessing or using DocketScreen at docketscreen.onrender.com or any successor domain ("Service"), you agree to these Terms.

1. Service Description

DocketScreen is an AI-powered due diligence research tool that searches publicly available databases including court records, UCC filings, bankruptcy records, tax lien records, and business entity registrations. The Service generates automated reports using artificial intelligence to analyze search results.

2. Not Legal Advice

DocketScreen does not provide legal advice. Reports generated by the Service are for informational purposes only and are intended as a starting point for legal due diligence research. The Service does not replace the professional judgment of a licensed attorney. All findings should be independently verified before making any legal, financial, or business decisions.

3. Accuracy and Limitations

While we strive for accuracy, we cannot guarantee that search results are complete, current, or error-free. Limitations include:

• Public records databases may not contain all relevant records
• Some data sources may be temporarily unavailable
• AI-generated analysis may contain errors or omissions
• Name-based searches may return results for different individuals with similar names
• Records may not be updated in real-time

The absence of records in any category does not guarantee that no records exist. Users are responsible for verifying all findings through independent sources.

4. User Accounts

To use the Service, you must create an account with a valid email address and password. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You must notify us immediately of any unauthorized use.

5. Free Trial and Paid Plans

New accounts receive 3 free due diligence reports. After the free trial, continued use requires a paid subscription at the then-current price. Subscriptions are billed monthly through Stripe. You may cancel at any time; cancellation takes effect at the end of the current billing period. No refunds are provided for partial months.

6. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Use the Service to harass, stalk, or harm any individual
• Attempt to reverse-engineer, scrape, or programmatically access the Service outside of its intended interface
• Use automated tools to submit searches at a rate exceeding normal human usage
• Resell, redistribute, or sublicense access to the Service without written permission
• Use the Service in violation of the Fair Credit Reporting Act (FCRA) or any applicable federal or state laws

7. FCRA Compliance

DocketScreen is NOT a consumer reporting agency as defined by the Fair Credit Reporting Act (15 U.S.C. 1681 et seq.). The Service may not be used as a factor in establishing a consumer's eligibility for credit, insurance, employment, or any other purpose authorized under the FCRA. By using the Service, you certify that you will not use any information obtained through DocketScreen for any purpose covered by the FCRA.

8. Privacy

We collect and store your email address, account information, and search history for the purpose of providing the Service. Search queries and results are stored to provide search history functionality and for compliance auditing. We do not sell your personal information to third parties. We use Supabase for data storage and Stripe for payment processing, both of which maintain their own privacy policies.

9. Intellectual Property

The Service, including its design, code, AI models, and branding, is the property of DailyVault LLC. Reports generated by the Service may be used by the subscriber for their internal business purposes, including sharing with clients. You may not claim authorship of the AI-generated analysis.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DAILYVAULT LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM:

• Your use of or inability to use the Service
• Any errors, omissions, or inaccuracies in search results or AI-generated reports
• Decisions made based on information provided by the Service
• Unauthorized access to or alteration of your data

Our total liability for any claims arising from these Terms or use of the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless DailyVault LLC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney fees) arising from your use of the Service or violation of these Terms.

12. Modifications

We reserve the right to modify these Terms at any time. We will notify registered users of material changes via email. Continued use of the Service after changes take effect constitutes acceptance of the modified Terms.

13. Termination

We may suspend or terminate your account at any time for violation of these Terms or for any other reason at our discretion. Upon termination, your right to use the Service ceases immediately. We may retain search logs for compliance purposes.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New Jersey, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the courts of the State of New Jersey.
